IARC TEXAS — LEGAL & PRIVACY POLICY

IARC Texas is a Texas nonprofit corporation operating as a social welfare organization with a pending application for tax-exempt status under Section 501(c)(4) of the Internal Revenue Code. The governance, management, and operations of IARC Texas are subject to its Bylaws and Policies and Procedures as adopted by the Board of Directors and amended from time to time. All officers, directors, and members act subject to those governing documents.
 

PART I — LEGAL DISCLOSURE


1. ORGANIZATIONAL STATUS
 

Iranian American Republican Council of Texas ("IARC Texas," "we," "us," or "our") is a Texas nonprofit corporation organized under the laws of the State of Texas and operating as a social welfare organization with a pending application for tax-exempt status under Section 501(c)(4) of the Internal Revenue Code. IARC Texas has filed IRS Form 1024-A and is awaiting a final determination letter from the Internal Revenue Service.
 

Pursuant to Revenue Procedure 2021-5 and applicable Treasury Regulations, IARC Texas is authorized to operate as a 501(c)(4) social welfare organization during the pendency of its application, provided it operates in compliance with all applicable 501(c)(4) requirements.


2. TAX DEDUCTIBILITY
 

Contributions, membership dues, and other payments to IARC Texas are NOT tax-deductible as charitable contributions under Internal Revenue Code Section 170. IARC Texas is not a 501(c)(3) charitable organization. All donors and members should consult a qualified tax professional regarding the tax treatment of any payments made to this Organization.
 

3. PRIMARY PURPOSE AND SOCIAL WELFARE MISSION


The primary purpose of IARC Texas is the promotion of social welfare within the meaning of Section 501(c)(4) of the Internal Revenue Code, which includes:
 

  • Promoting the civic participation, voter registration, and political education of Iranian Americans across the State of Texas

  • Advancing conservative values, Republican principles, and policies that serve the general welfare of our community and state

  • Fostering unity, leadership development, and community empowerment among Iranian Americans in Texas

  • Engaging in issue advocacy, public communications, and community outreach on matters of public policy affecting Iranian Americans and all Texans
     

4. POLITICAL ACTIVITY AND FEC COMPLIANCE
 

IARC Texas is legally authorized to engage in political activity consistent with its 501(c)(4) status, including voter registration, issue advocacy, and limited political expenditures, provided such activity does not constitute the primary purpose of the Organization. All political activity is conducted in accordance with the authority granted to officers and directors under the IARC Texas Bylaws and Policies and Procedures.

Paid for by Iranian American Republican Council of Texas. Not authorized by any candidate or candidate's committee.

IARC Texas complies with all applicable FEC and Texas Ethics Commission reporting and disclosure requirements.


5. GOVERNANCE AND AUTHORITY
 

IARC Texas is governed by its Board of Directors, whose composition, qualifications, powers, duties, terms, and removal procedures are defined exclusively in the IARC Texas Bylaws. Officers of IARC Texas serve in roles defined and limited by the Bylaws and Policies and Procedures. Members' rights and obligations are defined and governed by the IARC Texas Bylaws and Policies and Procedures as currently in effect.


6. INTERIM OPERATING COMMITMENTS
 

During the pendency of its 501(c)(4) application, IARC Texas commits to:
 

  • Operating in full compliance with all Section 501(c)(4) requirements

  • Maintaining complete and accurate books of account and financial records

  • Filing all required federal information returns including IRS Form 990 or Form 990-EZ on a timely basis

  • Not representing itself as holding a final IRS determination letter until such letter has been received

  • Promptly notifying all members and the public upon receipt of a final IRS determination
     

7. NO PRIVATE INUREMENT
 

No part of the net earnings or assets of IARC Texas shall inure to the benefit of any director, officer, member, employee, or private individual, except that the Organization is authorized to pay reasonable compensation for services rendered. All compensation arrangements are subject to the conflict of interest and compensation review procedures in the IARC Texas Policies and Procedures.


8. PUBLIC INSPECTION RIGHTS
 

The following documents are available for public inspection upon written request to info@iarctexas.org:
 

  • IRS Form 1024-A application for 501(c)(4) status

  • IRS Form 990 / 990-EZ for the three most recently completed taxable years

  • Articles of Incorporation as filed with the Texas Secretary of State

  • IARC Texas Bylaws as currently in effect
     

PART II — TERMS AND CONDITIONS


9. ACCEPTANCE OF TERMS
 

By accessing or using the website located at iarctexas.org or by becoming a member of IARC Texas you agree to be bound by these Terms and Conditions. These Terms constitute a legally binding agreement between you and IARC Texas. If you do not agree you must immediately discontinue use of the Site. All officers, directors, and members are additionally subject to the IARC Texas Bylaws and Policies and Procedures which are incorporated herein by reference.


10. ELIGIBILITY
 

To use this Site or become a member of IARC Texas you must:
 

  • Be at least 18 years of age

  • Be a legal resident or citizen of the United States

  • Be capable of forming a legally binding contract under applicable law

  • Not be prohibited from using this Site under any applicable law or regulation

  • Provide accurate, truthful, and complete information during registration and at all times thereafter

  • Agree to abide by the IARC Texas Bylaws, Policies and Procedures, and Member Code of Conduct


11. MEMBERSHIP TERMS
 

Membership in IARC Texas is available to Iranian Americans in Texas who support conservative and Republican values. Submission of a membership application does not guarantee acceptance. IARC Texas reserves the right to approve or deny any membership application at its sole discretion subject to its Bylaws and Policies and Procedures.
 

Annual membership dues are $200.00 per year for standard membership and $25.00 per year for verified student membership. Dues are due and payable at the time of application and annually upon renewal. All membership dues are non-refundable except as required by applicable law or as otherwise provided in the IARC Texas Bylaws.
 

All members are subject to and bound by the IARC Texas Bylaws, Policies and Procedures, and Member Code of Conduct. Members' rights including voting rights, meeting participation, and access to organizational information are defined and governed exclusively by the IARC Texas Bylaws and Policies and Procedures.
 

IARC Texas reserves the right to suspend or terminate any membership in accordance with the procedures set forth in the IARC Texas Bylaws and Policies and Procedures.
 

12. OFFICER AND DIRECTOR OBLIGATIONS
 

All officers and directors of IARC Texas serve subject to the terms of the IARC Texas Bylaws and Policies and Procedures, which establish qualifications, terms of service, duties, powers, limitations, conflict of interest requirements, and removal procedures for all organizational leadership positions. No officer or director may act on behalf of IARC Texas except as authorized by the Bylaws and applicable Policies and Procedures.
 

13. MEMBER PORTAL AND ACCOUNT SECURITY
 

Members are required to create a password-protected account to access the Members Area. You are responsible for maintaining the confidentiality of your credentials and all activity that occurs under your account. You may not share credentials, create multiple accounts, or impersonate any other person or organization. Notify IARC Texas immediately of any unauthorized access at info@iarctexas.org.


14. ACCEPTABLE USE
 

By using this Site you agree that you will not use the Site for any unlawful purpose, post defamatory or harmful content, interfere with Site operations, attempt unauthorized access, use automated tools to scrape data, reproduce or distribute IARC Texas content without consent, upload malicious code, impersonate IARC Texas or its leadership, or violate the IARC Texas Bylaws, Policies and Procedures, or Member Code of Conduct.
 

15. INTELLECTUAL PROPERTY
 

All content on this Site including text, graphics, logos, images, the IARC Texas name and seal, and organizational materials is the property of IARC Texas or its licensors and is protected by applicable copyright, trademark, and intellectual property laws. You may not copy, reproduce, or distribute IARC Texas content or use the IARC Texas name, logo, or seal without prior written authorization from the Board of Directors.


16. PAYMENTS AND REFUND POLICY
 

All payments are processed through secure third-party payment processors. By submitting payment you represent that you are authorized to use the payment method provided. All membership dues are non-refundable. If you believe a charge has been made in error contact us within 30 days at info@iarctexas.org.
 

17. DISCLAIMER OF WARRANTIES
 

THE SITE AND ALL CONTENT AND SERVICES PROVIDED BY IARC TEXAS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND EXPRESS OR IMPLIED INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY FITNESS FOR A PARTICULAR PURPOSE TITLE OR NON-INFRINGEMENT.


18. LIMITATION OF LIABILITY
 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW IARC TEXAS ITS DIRECTORS OFFICERS EMPLOYEES AGENTS AND VOLUNTEERS SHALL NOT BE LIABLE FOR ANY INDIRECT INCIDENTAL SPECIAL CONSEQUENTIAL PUNITIVE OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR MEMBERSHIP IN IARC TEXAS. IN NO EVENT SHALL IARC TEXAS'S TOTAL LIABILITY EXCEED THE AMOUNT OF MEMBERSHIP DUES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.


19. INDEMNIFICATION
 

You agree to indemnify, defend, and hold harmless IARC Texas, its directors, officers, employees, agents, and volunteers from and against any and all claims, damages, losses, costs, and expenses including reasonable attorneys' fees arising out of or related to your use of the Site, membership in IARC Texas, violation of these Terms, violation of any applicable law, any content you submit, or your conduct at any IARC Texas event or activity.
 

20. GOVERNING LAW AND DISPUTE RESOLUTION
 

These Terms shall be governed by and construed in accordance with the laws of the State of Texas without regard to its conflict of law principles. Any legal action shall be brought exclusively in the state or federal courts located in Dallas County, Texas. Disputes between members or between members and the Organization shall first be subject to the internal dispute resolution procedures in the IARC Texas Bylaws and Policies and Procedures before any external legal action is initiated. You agree that any dispute resolution proceedings will be conducted on an individual basis only and not as a class consolidated or representative action.
 

21. CHANGES TO TERMS
 

IARC Texas reserves the right to modify these Terms at any time subject to Board approval in accordance with the IARC Texas Bylaws. We will notify you of material changes by posting updated Terms on the Site. Your continued use of the Site or membership following any change constitutes acceptance of the revised Terms.
 

PART III — PRIVACY POLICY


22. INTRODUCTION
 

IARC Texas is committed to protecting your privacy. This Privacy Policy explains how we collect, use, disclose, and safeguard your personal information when you visit iarctexas.org, create a member account, make a payment, or otherwise interact with our organization.


23. INFORMATION WE COLLECT
 

Information You Provide Directly:
 

  • Identity Information: First name, last name, date of birth

  • Contact Information: Email address, phone number, mailing address, city, state, ZIP code

  • Political Information: Party affiliation, voter registration status voluntarily submitted

  • Professional Information: Occupation, employer, professional background

  • Membership Information: Membership plan, start and renewal dates

  • Payment Information: Payment details processed securely through third-party processors — we do not store full payment card numbers

  • Account Credentials: Username and password for your member portal

  • Communications: Messages and correspondence you send to us

  • Event Information: RSVPs, attendance records, and event preferences

  • Uploaded Documents: Student ID and voter registration verification documents
     

Information Collected Automatically:
 

  • Device Information: IP address, browser type and version, operating system, device type

  • Usage Data: Pages visited, time spent, links clicked, referring URL

  • Cookies and Tracking Technologies: Session cookies, persistent cookies, web beacons, and pixel tags

  • Location Data: General geographic location based on IP address
     

Information from Third Parties:
 

  • Payment processors, social media platforms, event platforms, and publicly available voter registration databases to the extent permitted by applicable law
     

24. HOW WE USE YOUR INFORMATION
 

We use the information we collect for membership administration, payment processing, communications, political and advocacy activity consistent with our 501(c)(4) mission, event management, legal compliance including IRS FEC and Texas Ethics Commission requirements, governance obligations under the IARC Texas Bylaws and Policies and Procedures, website operations, security, analytics, and dispute resolution.
 

25. HOW WE SHARE YOUR INFORMATION
 

IARC Texas does not sell your personal information. We may share your information with third-party service providers who assist us in operating our Site and organization, with authorized officers and directors strictly in furtherance of their governance responsibilities under the Bylaws and Policies and Procedures, as required by law including IRS FEC and Texas Ethics Commission reporting requirements, with organizational partners with your consent, and in connection with any merger dissolution or reorganization of IARC Texas.

Please be aware that federal and Texas law may require IARC Texas to publicly disclose the names and contribution amounts of donors who exceed certain thresholds in connection with political activity. By contributing to IARC Texas you acknowledge and consent to such disclosure as required by applicable law.
 

26. DATA SECURITY
 

We implement reasonable and appropriate administrative, technical, and physical safeguards to protect your personal information including secure HTTPS encryption, password-protected member accounts, restricted access on a need-to-know basis, and secure third-party payment processing. No method of data transmission or storage is completely secure. In the event of a data breach we will notify you as required by applicable law.
 

27. DATA RETENTION
 

We retain your personal information for as long as your membership account is active, as necessary to fulfill the purposes in this Policy, as required by applicable law including IRS record-keeping requirements of generally a minimum of 7 years and FEC and TEC compliance obligations, as required by the IARC Texas Document Retention Policy, and as necessary to resolve disputes or enforce our agreements.


28. YOUR RIGHTS AND CHOICES
 

You may request access to, correction of, or deletion of your personal information subject to legal retention requirements. You may unsubscribe from marketing emails at any time. You may withdraw consent where processing is based on consent. To exercise these rights contact info@iarctexas.org. We will respond within 30 days.


29. TEXAS PRIVACY RIGHTS
 

Texas residents may have additional rights under the Texas Data Privacy and Security Act and other applicable Texas law including rights to access, correct, delete, and opt out of the sale or targeted advertising use of personal data. To exercise Texas privacy rights contact info@iarctexas.org.
 

30. CHILDREN'S PRIVACY
 

Our Site and services are not directed to individuals under the age of 18. We do not knowingly collect personal information from minors. If you believe we have inadvertently collected such information please contact us at info@iarctexas.org.


31. THIRD-PARTY LINKS
 

Our Site may contain links to third-party websites. We are not responsible for the privacy practices of any third-party site and encourage you to review their privacy policies.


32. CHANGES TO THIS PRIVACY POLICY
 

We reserve the right to update this Privacy Policy at any time. We will notify you of material changes by posting the updated Policy on our Site with a revised Last Updated date and where appropriate by direct email notification to members. Your continued use of the Site following any update constitutes acceptance of the revised Policy.
