Member Code of Conduct
Effective Date: April 11, 2026
PREAMBLE
Membership in the Iranian American Republican Council of Texas is a privilege that carries with it a personal commitment to the values, mission, and reputation of this organization and the community it represents. IARC Texas exists to advance Iranian American conservative leadership across Texas — and every member, officer, and director serves as an ambassador of that mission.
This Member Code of Conduct establishes the standards of behavior expected of all IARC Texas members in their interactions with the Organization, fellow members, elected officials, the Republican Party, and the broader public. It is adopted pursuant to and supplements the IARC Texas Bylaws and Policies and Procedures. In the event of any conflict between this Code of Conduct and the Bylaws or Policies and Procedures, the Bylaws and Policies and Procedures shall control.
By becoming or remaining a member of IARC Texas you acknowledge that you have read, understood, and agree to abide by this Member Code of Conduct in its entirety, as well as the IARC Texas Bylaws, Policies and Procedures, and all other governing documents of the Organization. New members are required to affirmatively acknowledge this Code of Conduct by checking the acknowledgment box during the membership registration process before membership is activated. This acknowledgment constitutes a binding agreement and creates a documented record of acceptance.
ARTICLE I — APPLICABILITY
This Code of Conduct applies to:

All active members of IARC Texas in good standing
-
All officers of IARC Texas
-
All directors of IARC Texas
-
All volunteers and representatives acting on behalf of IARC Texas in any capacity
-
All individuals participating in IARC Texas events, activities, forums, digital platforms, or communications
Membership in IARC Texas constitutes acceptance of this Code of Conduct in full. Continued membership constitutes ongoing agreement to abide by its terms as amended from time to time by the Board of Directors. Members will be notified of material amendments by email and through the member portal. Continued membership following notification of any amendment constitutes acceptance of the amended Code.
ARTICLE II — CORE STANDARDS OF CONDUCT
All IARC Texas members, officers, and directors agree to uphold the following core standards at all times in connection with their membership and participation in IARC Texas:
2.1 Integrity and Honesty
Members shall conduct themselves with integrity, honesty, and transparency in all dealings with the Organization, fellow members, and the public. Members shall not misrepresent their identity, credentials, membership status, or role within IARC Texas to any person or entity.
2.2 Professionalism and Respect
Members shall treat all fellow members, guests, staff, volunteers, elected officials, and members of the public with dignity, courtesy, and respect — regardless of background, profession, national origin, or political opinion. Conduct that demeans, belittles, or disrespects any individual in connection with IARC Texas will not be tolerated.
2.3 Commitment to Mission
Members shall conduct themselves in a manner consistent with the mission, values, and public reputation of IARC Texas. Members shall not take any action that undermines the Organization's credibility, effectiveness, or standing within the Texas Republican community.
2.4 Compliance with Governing Documents
All members shall familiarize themselves with and comply with the IARC Texas Bylaws, Policies and Procedures, and all resolutions and policies adopted by the Board of Directors. Ignorance of the governing documents is not a defense to a violation of this Code.
2.5 Legal Compliance
Members shall comply with all applicable federal, state, and local laws and regulations in connection with their membership and participation in IARC Texas activities — including all campaign finance laws, ethics regulations, and laws governing nonprofit organizations.
2.6 Civic Responsibility and Voter Registration
As members of a 501(c)(4) civic engagement organization, members are expected to actively participate in the democratic process — including registering to vote, participating in Republican primary elections, and engaging in the civic activities that IARC Texas champions on behalf of the Iranian American community in Texas.
Members are expected to maintain active voter registration in the State of Texas as a condition of membership in good standing. Failure to maintain voter registration status may result in suspension of member benefits pending re-registration. IARC Texas will provide resources and assistance to members who need to register or update their registration through VoteTexas.gov.
2.7 Dues and Financial Obligations
Members who fail to pay annual membership dues by the renewal date shall be considered not in good standing and shall have their member portal access and member benefits suspended until dues are paid current. Reinstatement of lapsed membership is subject to Board approval in accordance with the Bylaws and Policies and Procedures. Membership dues are non-refundable as set forth in the IARC Texas Bylaws and Policies and Procedures.
ARTICLE III — POLITICAL AND PUBLIC CONDUCT
3.1 Authorized Representations
Members may not make any public statement, press release, social media post, or public communication that purports to represent the official position of IARC Texas without explicit prior written authorization from the Board of Directors. Personal political opinions may be expressed but must be clearly identified as personal views and not the position of IARC Texas.
3.2 Representation to Third Parties
Members shall not represent to any third party — including elected officials, government agencies, media outlets, political committees, or other organizations — that they are speaking, acting, or advocating on behalf of IARC Texas without explicit written authorization from the Board of Directors. Unauthorized representation of IARC Texas to any third party is grounds for immediate membership termination.
3.3 Endorsements
Members may not endorse any political candidate, ballot measure, or political committee on behalf of IARC Texas without explicit prior written authorization from the Board of Directors. This includes the use of the IARC Texas name, logo, or seal in connection with any endorsement or political communication.
3.4 Social Media and Digital Conduct
Members shall conduct themselves on all social media platforms and in all digital spaces associated with IARC Texas — including the member portal, community groups, forums, and messaging platforms — in a manner consistent with this Code of Conduct.
Members shall not post content that is defamatory, harassing, threatening, offensive, or otherwise harmful to the reputation of IARC Texas, its leadership, its members, or the Iranian American community on any platform. Members shall not post spam, unauthorized solicitations, or unauthorized commercial material in any IARC Texas digital space.
Members shall not use the IARC Texas name, logo, or seal on personal social media accounts without explicit prior written authorization from the Board of Directors.
Violations of digital and online conduct standards are subject to the same disciplinary procedures as in-person violations and may result in immediate suspension of member portal access pending review.
3.5 Media Inquiries
Members who receive media inquiries regarding IARC Texas shall refer all such inquiries to the IARC Texas Board of Directors or designated communications officer immediately. Members shall not speak to the media on behalf of IARC Texas without explicit prior written authorization from the Board of Directors.
3.6 Photography and Recording
Members shall not photograph, video record, audio record, or livestream any IARC Texas Board meeting, private member meeting, executive session, or closed organizational proceeding without explicit prior authorization from the Board of Directors.
Photography and recording at public IARC Texas events is permitted unless otherwise notified by organizational staff at the time of the event. Members who capture photographs or recordings at authorized IARC Texas events agree that such content may be used by the Organization for promotional and organizational purposes.
ARTICLE IV — FINANCIAL AND ORGANIZATIONAL INTEGRITY
4.1 Personal Use of Organizational Resources
Members shall not use IARC Texas resources, funds, facilities, staff, or organizational name for personal financial gain or unauthorized commercial purposes of any kind.
4.2 Conflicts of Interest
Members who have a personal, financial, or professional interest in any matter being considered by the Organization shall disclose that interest promptly to the Board of Directors and recuse themselves from any related decision-making in accordance with the IARC Texas
Conflict of Interest Policy.
4.3 Financial Contributions
All contributions to IARC Texas shall be made in compliance with applicable federal and Texas law. Members shall not make contributions on behalf of another person, foreign national, or prohibited source. Members acknowledge that contributions to IARC Texas are not tax-deductible as charitable contributions under federal law.
4.4 Accurate Recordkeeping
Members shall provide accurate and truthful information in all membership applications, renewal forms, voter verification submissions, student ID verifications, and all other communications with the Organization. Submission of false, altered, or misleading documents in connection with membership is grounds for immediate termination.
ARTICLE V — CONFIDENTIALITY
5.1 Member Information
Members shall treat the personal contact information of fellow members as strictly confidential. Member directories, contact lists, and portal information shall not be shared with any person or entity outside of IARC Texas without explicit Board authorization.
5.2 Board and Organizational Matters
Members who have access to non-public organizational information — including Board deliberations, financial records, strategic plans, personnel matters, or disciplinary proceedings — shall maintain the strict confidentiality of such information and shall not disclose it to unauthorized persons under any circumstances.
5.3 Ongoing Obligation
Confidentiality obligations survive the termination or expiration of membership. Former members remain bound by the confidentiality provisions of this Code with respect to information obtained during their membership.
ARTICLE VI — EVENT AND COMMUNITY STANDARDS
6.1 Event Conduct
Members shall conduct themselves in a professional and respectful manner at all IARC Texas events, meetings, town halls, galas, fundraisers, and activities. Behavior that disrupts, endangers, or brings disrepute to any IARC Texas event will result in immediate removal from the event and may result in membership suspension or termination.
6.2 Harassment and Discrimination
IARC Texas maintains a zero-tolerance policy for harassment or discrimination of any kind at any organizational event or in any organizational communication. This includes but is not limited to harassment based on sex, race, religion, national origin, age, disability, or political affiliation within the Republican Party. Any member who experiences or witnesses harassment at an IARC Texas event or in an organizational communication is encouraged to report it immediately to info@iarctexas.org.
6.3 Alcohol and Conduct
Where alcohol is present at IARC Texas events, members are expected to conduct themselves responsibly at all times. Conduct resulting from intoxication that embarrasses, endangers, or harms IARC Texas or its members will be treated as a Code of Conduct violation subject to disciplinary action.
6.4 Inter-Member Disputes
Disputes between members arising out of or related to IARC Texas activities, membership, or organizational participation shall first be submitted to the Board of Directors for informal resolution before any external legal action is initiated. Members agree to make a good-faith effort to resolve disputes internally and confidentially before pursuing any outside remedies. The Board of Directors shall have authority to mediate, resolve, or refer such disputes in accordance with the Bylaws and Policies and Procedures.
ARTICLE VII — DIGITAL PLATFORM AND COMMUNITY MODERATION
7.1 Nature of Digital Spaces
All IARC Texas digital spaces — including but not limited to the member portal, community groups, regional chapter groups, discussion forums, chat features, messaging tools, comment sections, and any other interactive features within the IARC Texas membership dashboard — are private platforms owned and operated exclusively by Iranian American Republican Council of Texas. Membership does not create any right, entitlement, or property interest in any IARC Texas digital space. Access to all digital spaces is a revocable privilege extended at the sole discretion of the Organization.
7.2 Absolute Moderation Authority
IARC Texas leadership — including the Board of Directors, the Chairman, the President, and any officer or administrator designated by the Board — reserves the absolute and unconditional right to:

Remove any post, message, comment, image, file, or content from any IARC Texas digital platform at any time and for any reason
-
Edit, restrict, or archive any content posted in any IARC Texas digital space
-
Mute, restrict, suspend, or permanently remove any member from any group, chat, forum, or digital platform at any time
-
Dissolve, archive, or restructure any group, channel, or community within the membership dashboard at any time
-
Grant or revoke digital platform access at any level at any time without prior notice
7.3 No Appeal of Moderation Decisions
Moderation decisions made by IARC Texas leadership with respect to digital platform access, content removal, or removal from any group or chat are final and not subject to appeal. The standard disciplinary and appeals procedures set forth in Article XI of this Code do not apply to digital platform moderation decisions. IARC Texas leadership is not required to provide a reason for any moderation action taken.
7.4 No Expectation of Privacy
Members have no expectation of privacy in any content posted, shared, or communicated within any IARC Texas digital platform or membership dashboard feature. All content posted in IARC Texas digital spaces is subject to review by authorized organizational leadership at any time without notice.
7.5 Content Standards
All content posted in IARC Texas digital spaces must be consistent with the mission, values, and professional standards of the Organization.
The following content is strictly prohibited in all IARC Texas digital spaces and is subject to immediate removal without notice:

Defamatory, harassing, threatening, or intimidating content directed at any person
-
Sexually explicit, obscene, or otherwise offensive material
-
Unauthorized commercial solicitations, spam, or promotional content
-
Content that disparages IARC Texas, its leadership, its members, or the Iranian American community
-
Content that violates any applicable law including campaign finance laws, privacy laws, or intellectual property laws
-
Political content that conflicts with or undermines the mission and values of IARC Texas
-
Personal disputes or grievances aired publicly within group or chat features
-
Any content that IARC Texas leadership in its sole discretion determines to be inconsistent with organizational standards
7.6 Removal from Digital Spaces is Not Termination
Removal of a member from any IARC Texas group, chat, or digital platform does not automatically constitute termination of membership unless expressly stated by the Board of Directors in writing. A member removed from a digital space retains their membership status unless separately notified of suspension or termination in accordance with this Code.
7.7 Reinstatement to Digital Spaces
A member removed from any IARC Texas digital platform or community group may request reinstatement by contacting info@iarctexas.org. Reinstatement is granted solely at the discretion of IARC Texas leadership and is not guaranteed. There is no formal reinstatement process and no timeline obligation on the Organization to respond to reinstatement requests.
ARTICLE VIII — NON-COMPETITION, NON-SOLICITATION, BRAND PROTECTION, AND INTELLECTUAL PROPERTY
8.1 Purpose
IARC Texas has invested significant organizational resources, goodwill, and intellectual effort in building its brand, mission, membership base, digital infrastructure, and community standing. This Article protects those assets from exploitation, unauthorized use, and competitive harm by current and former members, officers, and directors.
8.2 Non-Competition
During the term of membership and for a period of two (2) years following the termination, expiration, or resignation of membership for any reason, members shall not directly or indirectly:

Organize, found, establish, lead, or serve in a leadership capacity in any organization whose primary purpose substantially overlaps with or competes with the mission of IARC Texas — specifically any organization purporting to represent Iranian American Republican, conservative, or political interests in the State of Texas
-
Solicit current or former IARC Texas members to join, support, fund, or participate in any competing organization
-
Use knowledge, relationships, contacts, or organizational intelligence obtained through IARC Texas membership to build, launch, or grow any competing organization
-
Accept a leadership, advisory, or founding role in any organization that directly competes with IARC Texas for membership, funding, political influence, or community standing within the Iranian American Republican community in Texas without prior written consent of the IARC Texas Board of Directors
8.3 Non-Solicitation of Members
During the term of membership and for a period of two (2) years following the termination, expiration, or resignation of membership for any reason, members shall not directly or indirectly:

Solicit, recruit, or encourage any IARC Texas member, donor, volunteer, or organizational contact to leave IARC Texas or reduce their support of the Organization
-
Use the IARC Texas member directory, contact lists, event attendee lists, or any other member information obtained through the Organization to solicit individuals for any competing organization, commercial venture, or political effort not authorized by IARC Texas
-
Contact IARC Texas members through any channel for the purpose of undermining confidence in IARC Texas leadership, mission, or organizational direction
8.4 Non-Disclosure of Confidential Information
Members shall not at any time during or after membership disclose, publish, distribute, or make publicly available any of the following without explicit prior written authorization from the Board of Directors:

IARC Texas member lists, contact directories, or any personally identifiable information of members, donors, or supporters
-
Internal organizational documents including but not limited to Board meeting minutes, financial records, strategic plans, donor records, membership data, and internal communications
-
IARC Texas Bylaws or Policies and Procedures drafts, working documents, or any version not expressly published by the Organization as a public document
-
Proprietary organizational strategies, advocacy plans, campaign strategies, political targeting information, or electoral intelligence developed by or for IARC Texas
-
Any document, communication, or organizational information designated as confidential by the Board of Directors
Unauthorized disclosure of confidential organizational information is grounds for immediate membership termination and may expose the disclosing member to legal liability including claims for injunctive relief and damages.
8.5 Brand Protection — IARC Texas
The IARC Texas name, abbreviation, logo, seal, and all associated branding are the exclusive intellectual property of Iranian American Republican Council of Texas. Members shall not at any time during or after membership:

Use the IARC Texas name, logo, seal, abbreviation, or any confusingly similar mark in connection with any product, service, organization, event, or commercial activity without explicit prior written authorization from the Board of Directors

Register any domain name, social media handle, business name, or entity name incorporating the IARC Texas name, abbreviation, or any confusingly similar variation
-
Create merchandise, promotional materials, apparel, signage, or digital content bearing the IARC Texas name or logo without explicit prior written authorization from the Board of Directors
-
Monetize the IARC Texas brand or any element of IARC Texas intellectual property in any form for personal financial gain
-
Represent that any product, service, event, or organization is affiliated with, endorsed by, or authorized by IARC Texas without explicit written Board authorization
8.6 Brand Protection — Lion and Sun
The Lion and Sun mark, the lionandsun.com domain, the @lionandsun.com email platform, and all associated intellectual property are owned exclusively by Iranian American Republican Council of Texas and its authorized principals. Members shall not at any time during or after membership:

Use the Lion and Sun name, mark, imagery, or any confusingly similar variation for any commercial, political, or organizational purpose without explicit prior written authorization
-
Register any domain, social media handle, business name, or entity name incorporating the Lion and Sun mark or any confusingly similar variation
-
Monetize the Lion and Sun brand, mark, or associated intellectual property in any form for personal financial gain
-
Transfer, sublicense, assign, or otherwise convey any rights in the @lionandsun.com email address provided as a member benefit to any third party
-
Continue use of any @lionandsun.com email address following the termination, expiration, or suspension of membership — access to member email addresses is revoked automatically upon termination of membership and former members shall immediately cease use of any @lionandsun.com address upon notification
8.7 Monetization Prohibition
Members shall not monetize, license, sell, or commercially exploit any IARC Texas or Lion and Sun intellectual property, brand assets, organizational content, member data, or digital resources in any form for personal financial gain. This prohibition applies during membership and survives termination or expiration of membership indefinitely.
8.8 Ownership of Contributions
Any content, materials, ideas, strategies, advocacy plans, creative works, or organizational resources created by a member in connection with their IARC Texas membership or in furtherance of the Organization's mission — whether or not the member was compensated — shall be considered the exclusive property of Iranian American Republican Council of Texas. Members assign all right, title, and interest in any such contributions to IARC Texas upon creation.
8.9 Injunctive Relief
Members acknowledge that a violation of any provision of this Article would cause irreparable harm to IARC Texas for which monetary damages would be an inadequate remedy. Accordingly members agree that IARC Texas shall be entitled to seek immediate injunctive relief in addition to any other legal or equitable remedy available without the necessity of posting bond or proving actual damages. The prevailing party in any legal action arising under this Article shall be entitled to recover reasonable attorneys' fees and costs.
8.10 Reasonableness
Members acknowledge that the restrictions contained in this Article are reasonable and necessary to protect the legitimate organizational interests of IARC Texas and the Iranian American Republican community it serves. If any restriction is found by a court to be unenforceable as written the parties agree that the court may modify the restriction to the minimum extent necessary to make it enforceable and the restriction as modified shall be fully enforced.
8.11 Survival
All provisions of this Article survive the termination, expiration, or resignation of membership indefinitely with respect to brand protection, confidentiality, and monetization, and for the periods specified with respect to non-competition and non-solicitation.
ARTICLE IX — PROHIBITED CONDUCT
The following conduct is strictly prohibited and may result in immediate suspension or termination of membership without refund:

Making false, misleading, or defamatory statements about IARC Texas, its leadership, its members, or its affiliated organizations publicly or privately
-
Using the IARC Texas name, logo, seal, or organizational affiliation to obtain personal benefit, financial advantage, or unauthorized political influence
-
Sharing confidential member information, Board communications, or organizational financial data with unauthorized persons
-
Engaging in any form of fraud, misrepresentation, or deception in connection with IARC Texas membership, activities, or governance
-
Threatening, intimidating, or harassing any IARC Texas member, officer, director, guest, or volunteer in person or through any digital platform
-
Photographing, recording, or livestreaming any closed IARC Texas Board meeting or private organizational session without authorization
-
Representing IARC Texas to any third party without explicit written Board authorization
-
Violating any applicable campaign finance law, FEC regulation, or Texas Ethics Commission requirement in connection with IARC Texas activities
-
Submitting false, altered, or fraudulent documents including student IDs or voter registration verification materials
-
Competing with IARC Texas in violation of Article VIII of this Code
-
Soliciting IARC Texas members for competing organizations in violation of Article VIII of this Code
-
Disclosing confidential organizational information in violation of Articles V or VIII of this Code
-
Monetizing or misappropriating IARC Texas or Lion and Sun intellectual property in violation of Article VIII of this Code
-
Acting in excess of authority granted by the Bylaws or Policies and Procedures
-
Engaging in conduct that the Board of Directors reasonably determines to be detrimental to the mission, reputation, or interests of IARC Texas or the Iranian American community in Texas
ARTICLE X — REPORTING VIOLATIONS
10.1 How to Report
Any member, officer, director, or volunteer who becomes aware of a potential violation of this Code of Conduct is encouraged to report it promptly to the IARC Texas Board of Directors:

10.2 Confidentiality of Reports
All reports will be reviewed promptly and handled with appropriate confidentiality consistent with the requirements of a fair and thorough review. The identity of reporting parties will be protected to the extent reasonably possible. IARC Texas will not retaliate against any member who makes a good-faith report of a suspected violation.
10.3 Anonymous Reports
Anonymous reports may be submitted to info@iarctexas.org. The Organization's ability to investigate and resolve anonymous reports may be limited by the absence of identifying information, but all anonymous reports will be reviewed and considered by the Board of Directors.
10.4 False Reports
Members who knowingly submit false or malicious reports of Code of Conduct violations are themselves subject to disciplinary action under this Code.
ARTICLE XI — ENFORCEMENT AND DISCIPLINARY PROCEDURES
11.1 Investigation
Upon receipt of a complaint or report of a potential violation the Board of Directors or its designated representative shall conduct a prompt and impartial review of the matter. The member accused of a violation shall be given reasonable written notice and a meaningful opportunity to respond before any disciplinary action is taken — except where immediate action is necessary to protect the Organization, its members, or the public.
11.2 Disciplinary Actions
Violations of this Code of Conduct may result in one or more of the following disciplinary actions at the sole discretion of the Board of Directors based on the nature and severity of the violation:

Written Warning — Formal written notice that a violation has occurred and that further violations may result in more serious disciplinary action
-
Probation — A defined period during which the member's conduct is subject to heightened scrutiny and certain member privileges may be restricted at Board discretion
-
Suspension — Temporary suspension of membership and all associated member benefits and portal access for a defined period determined by the Board
-
Removal from Leadership — Removal from any officer, director, or committee position held within IARC Texas in accordance with Bylaw removal procedures
-
Termination of Membership — Permanent revocation of membership without refund of dues paid
-
Legal Action — Pursuit of injunctive relief, damages, attorneys' fees, or other legal remedies available under applicable law including but not limited to enforcement of Article VIII of this Code
-
Legal Referral — Referral to appropriate law enforcement, the FEC, the Texas Ethics Commission, or other regulatory authorities where the conduct involves potential criminal or regulatory violations
11.3 Appeals
A member subject to suspension or termination of membership may submit a written appeal to the Board of Directors within 14 days of receiving written notice of the disciplinary action. The written appeal must state the specific grounds for the appeal and include any supporting information. The Board shall review the appeal and issue a written decision within 30 days of receipt. The Board's decision on appeal is final and binding. Digital platform moderation decisions as described in Article VII are not subject to this appeals process.
11.4 No Refund Upon Termination
Membership dues are non-refundable upon suspension or termination for Code of Conduct violations except as expressly required by applicable law.
11.5 Confidentiality of Proceedings
All disciplinary proceedings, investigations, and outcomes shall be kept strictly confidential by the Board of Directors and all parties involved, except to the extent disclosure is required by applicable law or authorized by the Board in writing.
ARTICLE XII — ADDITIONAL STANDARDS FOR OFFICERS AND DIRECTORS
Officers and directors of IARC Texas are subject to all provisions of this Code of Conduct and are additionally held to the higher standards set forth in the IARC Texas Policies and Procedures for Officers and Directors, which establish:

Fiduciary duties of care and loyalty to the Organization

Conflict of interest disclosure and recusal requirements

Compensation review and approval procedures
-
Limitations on authority to bind or act on behalf of the Organization
-
Financial oversight and reporting responsibilities
-
Standards for attendance and participation in Board meetings
-
Confidentiality obligations with respect to Board deliberations
-
Procedures for resignation and removal
No officer or director may take any action on behalf of IARC Texas that is not authorized by the Bylaws and applicable Policies and Procedures. Any officer or director who becomes aware of a potential violation of law, the Bylaws, Policies and Procedures, or this Code by any member, officer, or director has an affirmative obligation to report it to the Board of Directors promptly.
ARTICLE XIII — AMENDMENTS
This Member Code of Conduct may be amended by the Board of Directors at any time in accordance with the IARC Texas Bylaws and Policies and Procedures. Proposed amendments shall be reviewed by legal counsel prior to adoption where practicable. Members will be notified of all material amendments by email and through the member portal no less than 14 days prior to the effective date of the amendment. Continued membership following the effective date of any amendment constitutes full acceptance of the amended Code.
ARTICLE XIV — SEVERABILITY
If any provision of this Code of Conduct is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall continue in full force and effect without interruption. If any restriction in Article VIII is found unenforceable as written a court may modify it to the minimum extent necessary to make it enforceable and the restriction as modified shall be fully enforced.
ARTICLE XV — GOVERNING LAW
This Member Code of Conduct shall be governed by and construed in accordance with the laws of the State of Texas. Any dispute arising under this Code that is not resolved through the internal procedures set forth herein shall be subject to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas. The prevailing party in any legal action arising under this Code shall be entitled to recover reasonable attorneys' fees and costs.
